1. Introduction
These Terms & Conditions govern the relationship between AreTech Computer Education and Skill Council (“ACE Skill Council”) and its franchise partners across India. By entering into a franchise agreement with ACE Skill Council, you agree to comply with these terms.

2. Franchise Agreement

• The franchise agreement is a binding contract between AreTech and the franchise.
• The franchise shall operate under the name “AreTech Computer Education and Skill Council” and adhere to the guidelines and standard set by ACE Skill Council.
• The franchise term is 1 year, with an option for renewal subject to mutual agreement and performance review.

3. Scope of Services

• Franchises are authorized to offer ACE Skill Council’s educational programs and skill development courses within their designated territories.
• The franchise must use the curriculum, branding, and materials provided by ACE Skill council without unauthorized modifications.

4. Fees and Payments

• Franchises must pay an initial franchise fee, along with ongoing royalty fees as specified in the franchise agreement.
• All payments must be made on time, as per the schedule provided by ACE Skill Council. Late payments may result in penalties or termination of the franchise agreement.

5. Marketing and Promotion

• Franchises are responsible for local marketing and promotional activities. However, all marketing materials must comply with ACE Skill Council’s branding guidelines and be approved by ACE Skill Council before use.
• ACE Skill Council may also conduct national marketing campaigns, and franchisees may be required to contribute to the marketing fund.

6. Training and Support

• ACE Skill Council will provide initial training to franchises and their staff, covering curriculum delivery, management, and operations.
• Ongoing support will be provided through regular updates, training sessions, and access to the latest educational resources.

7. Quality Assurance

• Franchises must maintain the quality standards set by ACE Skill Council in all aspects of operation, including curriculum delivery, student assessment, and facility maintenance.
• ACE Skill Council reserves the right to conduct periodic inspections and audits to ensure compliance.

8. Intellectual Property

• All intellectual property, including trademarks, logos, course content, and teaching materials, remain the exclusive property of ACE Skill Council.
• Franchises are granted a non-exclusive, non-transferable license to use ACE Skill Council’s intellectual property during the term of the franchise agreement.

9. Confidentiality

• Franchises must keep all proprietary information, business practices, and trade secrets of ACE Skill Council confidential.
• This obligation extends beyond the termination of the franchise agreement.

10. Termination

• The franchises agreement may be terminated by either party for cause, including but not limited to breach of contract, non-payment of fees, or failure to maintain quality standards.
• Upon termination, the franchisee must cease all use of ACE Skill Council’s branding and intellectual property and return all proprietary materials to ACE Skill Council.

11. Dispute Resolution

• Any disputes arising from the franchise agreement shall be resolved through arbitration, as per the in India Law.
• The decision of the arbitrator shall be final and binding on both parties.

12. Amendments

• ACE Skill Council reserves the right to amend these Terms & Conditions from time to time. Any changes will be communicated to franchises in writing.

13. Governing Law

• These Terms & Conditions shall be governed by and construed in accordance with the laws of India.
